ELEVENMUSIC CONTEST

OFFICIAL RULES

Important: Please read these Official Rules before entering this Contest (the “Contest”). By participating in this Contest, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. A PAID SUBSCRIPTION WILL NOT INCREASE YOUR CHANCES OF WINNING.

Contest void where prohibited by law. Subject to applicable federal, state, and local laws.

1. Eligibility

To be eligible to enter the Contest you must:

(a) at the time of entry, be at least 18 years old (or the age of majority in the jurisdiction where you reside, whichever is older);

(b) hold a valid ElevenMusic account (free or paid) in good standing, registered with accurate information, and be in compliance with the ElevenMusic Terms of Service and Prohibited Use Policy;

(c) not be on the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List or otherwise under sanction by OFAC (or an immediate family member (spouses, parent, child, sibling, grandparent, and “step” child, wherever they may live) of such an individual) or be employed by or affiliated with an entity sanctioned by OFAC;

(d) not be a resident of Brazil, Quebec, Italy, Russia or any country, state, province, or territory subject to comprehensive OFAC sanctions, including Cuba, Iran, North Korea, Syria, or the region of Crimea; and

(e) not be an employee or official of a federal, state, provincial, or local government body or agency, or a family member of any such individual.

Directors, officers, members, managers, and employees of Eleven Labs Inc. (“Sponsor”), and any of their parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising, promotional, public relations, and fulfillment agencies, consultants, legal counsel, website providers, web masters, and immediate family members (spouses, parent, child, sibling, grandparent, and “step” child, wherever they may live) of each are not eligible to win any prize. IF YOU DO NOT MEET ANY OF THESE REQUIREMENTS, OR ANY OTHER ELIGIBILITY REQUIREMENTS IN THESE OFFICIAL RULES, YOU ARE NOT ELIGIBLE TO WIN A PRIZE. To be eligible to win a prize, entries must be completed and received by Sponsor in the manner and format designated below.

2. Contest Period

The Contest starts at 9:00 a.m. BST on Tuesday, July 21, 2026 and ends at 11:59 p.m. BST on Monday, August 31, 2026 (the “Contest Period”). To be eligible to win a prize, a Submission (defined below) must be created and published during the Contest Period and meet the other requirements of these Official Rules, and only Verified Streams (defined in Section 6) occurring during the Contest Period will be counted. Sponsor’s or its designee’s computer and server logs are the official time-keeping devices for the Contest.

3. How to Enter

To enter, complete the following steps during the Contest Period:

(a) log in to, or create, an ElevenMusic account at elevenmusic.io;

(b) create an original music track or remix using ElevenMusic as part of the creation process; and

(c) publish that track to ElevenMusic for other users to stream.

Each track published in accordance with these Official Rules constitutes one entry into the Contest (a “Submission”). Publishing a qualifying track is the only step required to enter; there is no separate entry form. You may enter as many Submissions as you like, provided each is a separate, original track that independently satisfies these Official Rules. Both Free and paid ElevenMusic users may enter, and purchasing a subscription does not improve your chances of winning.

A Submission must remain published on the ElevenMusic Explore page continuously from the time of publication through the end of the Contest Period and the completion of winner verification. Submissions that are unpublished, deleted, or removed (including removal by Sponsor for violation of ElevenMusic’s terms or policies) before that time are ineligible.

By publishing a Submission, you agree that your Submission conforms to the Guidelines and Restrictions detailed in Section 4, below. Sponsor may choose to remove any Submission from the Contest or disqualify you from the Contest if it believes that your Submission fails to conform with the Guidelines and Restrictions.

If participating in this Contest via your mobile device (which service may only be available via select devices and participating wireless carriers, and is not required to enter), you may be charged for standard data use from your mobile device according to the terms in your wireless service provider’s data plan. Normal airtime and carrier charges and other charges may apply to data use and will be billed on your wireless device bill or deducted from your pre-paid balance. Wireless carrier rates vary, so you should contact your wireless carrier for information on your specific data plan.

4. Submission Guidelines and Restrictions

(a) Your Submission must not supply untruthful, incomplete, inaccurate or misleading information.

(b) Your Submission must have been created using ElevenMusic as part of the creation process during the Contest Period.

(c) Your Submission must be your original creation and be owned 100% by you, or, alternatively, you must have the full rights to grant the license and other rights that you grant to Sponsor in Section 11 below.

(d)Your Submission must not (in Sponsor’s discretion): (i) violate any third-party rights, including copyrights, trademark rights, or rights of privacy and publicity; (ii) contain disparaging or defamatory statements; (iii) include threats to any person, place, business, or group; (iv) be obscene, offensive, or indecent; (v) depict any risky behavior; (vi) contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and/or (vii) contain unauthorized third-party trademarks or logos.

(e) You represent and warrant that: (i) the Submission does not violate any applicable law, rule or regulation; (ii) to the extent the Submission features the voice or other qualities of any individual, you are the individual heard or otherwise featured in the Submission, or, alternatively, you have obtained written permission from each person featured in the Submission to grant the rights to Sponsor described in these Official Rules, and will make written copies of such permissions available to Sponsor upon request; (iii) the Submission complies with the ElevenMusic Terms of Service, Prohibited Use Policy, and any further ElevenMusic-specific terms presented to you in the product; and (iv) the Submission complies with all requirements of these Official Rules.

“Guidelines and Restrictions” means the requirements set out in this Section through paragraphs (a)-(e), above.

5. Identity of Entrant

All Submissions must be published by the individual entrant from the entrant’s own ElevenMusic account. Bulk or automated entries will be disqualified (including entries made using any script, macro, bot, or promotional service). Multiple participants are not permitted to share the same ElevenMusic account or email account, and each entrant may enter from only one ElevenMusic account. Any attempt to obtain additional entries or Verified Streams through fraud or other illegitimate means will result in disqualification, at Sponsor’s discretion.

In the event of a dispute about the identity of the entrant, entries will be declared made by the authorized account holder of the ElevenMusic account from which the Submission was published. An “authorized account holder” means the natural person who is assigned to the email address associated with the applicable ElevenMusic account by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning the applicable email address. Each potential winner may be required to provide Sponsor with proof that the potential winner is the authorized account holder of the account associated with the winning Submission.

6. Winner Determination; Verified Streams

Following the close of the Contest Period, Sponsor will rank all eligible Submissions by the total number of Verified Streams each Submission received during the Contest Period. The ten (10) eligible Submissions with the highest number of Verified Streams will be deemed the potential winners, ranked 1st through 10th.

A “Verified Stream” means a single playback of a Submission on the ElevenMusic platform that meets all of the following criteria, as measured and determined by Sponsor’s systems:

(a) the listener is a signed-in, registered ElevenMusic user other than the publisher of the Submission (anonymous, self or logged-out plays do not count);

(b) the Submission is played continuously for at least thirty (30) seconds (plays of fewer than 30 seconds, including skips and previews, do not count); and

(c)the playback session is confirmed as completed by Sponsor’s systems (sessions that are never confirmed - for example, where the browser tab or app is closed mid-play - do not count).

Anti-Fraud; Stream Manipulation. Sponsor reserves the right, in its sole discretion, to exclude from any Submission’s count any streams that Sponsor has reason to believe are fraudulent, artificial, incentivized, or manipulated — including streams generated by bots, scripts, or emulators; click or stream farms; purchased, exchanged, or otherwise incentivized streams; repeated automated playback; multiple, shared, or fake accounts; VPN, device, or location manipulation; or any other form of artificial stream inflation — and to disqualify any entrant who engages in, procures, or knowingly benefits from stream manipulation. Sponsor’s determinations as to whether a play qualifies as a Verified Stream, and as to stream validity and disqualification generally, are final and binding.

One Prize Per Entrant. If two or more Submissions from the same entrant rank among the top ten, only that entrant’s highest-ranked Submission will be eligible for a prize; the entrant’s lower-ranked Submissions will be passed over and the next highest-ranked eligible Submissions from other entrants will move up in rank.

Ties. If two or more Submissions are tied on Verified Streams for any winning position, the tied Submissions will share equally the total prize money allocated to the positions they collectively occupy (for example, two Submissions tied for 3rd place will each receive one-half of the combined 3rd and 4th place prizes, and the next-ranked Submission will be ranked 5th).

The number of Verified Streams a Submission receives depends on the number and engagement of listeners; winning depends on the number of eligible Submissions and the Verified Streams each receives.

7. Notification and Verification of Potential Winners

Each potential winner will be notified via the email address associated with their ElevenMusic account following the completion of the Contest Period. To the fullest extent permitted by applicable law, Sponsor may require each potential winner to sign and return, within seven (7) days of being notified, an Affidavit of Eligibility and Liability/Publicity Release in order to claim his/her prize. If (i) the attempted notification is returned as undeliverable; (ii) any required documents are not returned within seven (7) days, such as the Affidavit of Eligibility and Liability/Publicity Release; or (iii) the potential winner is otherwise unable to accept the prize as stated, the prize will be forfeited and will be awarded to an alternate winner, being the entrant with the eligible Submission having the next highest number of Verified Streams. Up to three (3) alternate winners will be selected for each prize. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, the prize(s) will be awarded to the eligible Submission(s) with the highest number of Verified Streams from among all eligible claimants making purportedly valid claims.

Verification of Potential Winner: EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A PRIZE WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.

8. Prizes

Ten (10) winners will each receive a cash prize according to their Submission’s final rank by Verified Streams, as follows:

Total value of all prizes: $50,000 USD. Prizes will be paid in U.S. dollars via electronic bank transfer and/or Sponsor’s third party payment provider. As a condition of receiving a prize, each winner may be required to provide valid payment details and applicable tax documentation (for example, IRS Form W-9 for U.S. persons or Form W-8BEN for non-U.S. persons).

Prize Restrictions: ALL PRIZES WILL BE AWARDED BY SPONSOR TO EACH WINNER. ANY AND ALL TAXES (FEDERAL, STATE, LOCAL, OR OTHER) ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER, AND EACH WINNER WILL BE SOLELY RESPONSIBLE FOR WITHHOLDING AND REMITTING ANY AND ALL APPLICABLE TAXES AND SATISFYING ANY AND ALL APPLICABLE INFORMATION REPORTING OBLIGATIONS ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE. Prizes are not transferable. No substitutions or exchanges of any prize will be permitted, except that Sponsor reserves the right to substitute a prize of comparable or greater value for any prize. Only the number of prizes stated in these Official Rules are available to be won in the Contest.

9. Disclaimer

Sponsor and any of its parent companies, subsidiaries, affiliates, directors, officers, professional advisors, consultants, contractors, legal counsel, public relations firms, employees and advertising, fulfillment and marketing agencies (collectively, the “Released Parties”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries, or any failure to record, measure, count, or verify any stream or play; (b) phone, electronic, hardware, software, network, Internet, or other computer or communications-related malfunctions or failures beyond Sponsor or the Released Parties’ reasonable control; (c) any Contest disruptions, injuries, losses or damages caused by events beyond the reasonable control of Sponsor or the Released Parties or by non-authorized human intervention; or (d) any printing or typographical errors in any materials associated with the Contest.

10. Limitations of Liability; Releases

By entering the Contest, you release Sponsor and all Released Parties from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including claims, costs, injuries, losses and damages related to rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO YOUR PARTICIPATION IN THE CONTEST OR USE OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE CONTEST OR ANY PRIZE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE CONTEST OR USE OF OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE CONTEST OR ANY PRIZE EXCEED $10. THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT EXCLUDE OR LIMIT LIABILITY FOR PERSONAL INJURY OR PROPERTY DAMAGE CAUSED BY SPONSOR’S PRODUCTS OR SERVICES, OR FOR THE RELEASED PARTIES’ GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR FOR FRAUD.

11. Use of Name, Likeness, etc.

To the fullest extent permitted by applicable law, entry into the Contest constitutes permission to use your name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation (including in a public-facing winner list). As a condition of being awarded any prize, except where prohibited by law, winner may be asked to execute a consent to the use of their name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation. By entering this Contest, you consent to being contacted by Sponsor for any purpose in connection with this Contest.

13. Winner List; Rules Request

For a copy of the winner list, send a stamped, self-addressed, business-size envelope for arrival after Tuesday, September 15, 2026 and before January 1, 2027 to the address listed in Section 17 below, Attn: ElevenMusic Contest.

15. Disputes

YOU AGREE THAT ANY DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS CONTEST OR ANY PRIZE AWARDED WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY THE UNITED STATES DISTRICT COURT FOR THE EASTERN DISTRICT OF NEW YORK OR THE APPROPRIATE STATE COURT LOCATED IN NEW YORK CITY. THESE OFFICIAL RULES ARE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, WITHOUT REGARD TO CHOICE OF LAW OR CONFLICT OF LAWS RULES. YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.

16. General Conditions

Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to suspend or cancel the Contest or any entrant’s participation in the Contest should viruses, bugs, unauthorized human intervention, stream manipulation, or other causes beyond Sponsor’s reasonable control affect the administration, security or proper play of the Contest, or Sponsor otherwise becomes (in its discretion) incapable of running the Contest as planned. Entrants who violate these Official Rules, violate any law, rule or regulation in connection with participation in the Contest, tamper with the operation of the Contest or engage in any conduct that is detrimental or unfair to Sponsor, the Contest or any other entrant (as determined in Sponsor’s discretion) are subject to disqualification from the Contest. Any attempt by an entrant or other individual to deliberately damage any website associated with this Contest or undermine the legitimate operation of the Contest (including by artificially inflating stream counts) may be in violation of criminal and civil law and Sponsor reserves the right to prosecute and seek damages from any such person to the fullest extent permitted by applicable law. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Contest. Sponsor reserves the right to disqualify any entries received that contain inappropriate or offensive content. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the terms “include” or “including” in these Official Rules is illustrative and not limiting.
